PUBLIC OFFER AGREEMENT

1. General Provisions

This document is an official proposal (public offer) from FOP “Dely Dmitro Dmytrovych” (hereinafter referred to as "Contractor") to any individual or legal entity (hereinafter referred to as "Client") to enter into an agreement for providing digital marketing services under the terms outlined below.

2. Subject of the Agreement

2.1. The Contractor agrees to provide the Client with services related to digital marketing, including but not limited to: website development, social media management, contextual advertising, SEO optimization, graphic design, and the Client agrees to accept and pay for these services under the terms of this Agreement.

3. Rights and Obligations of the Parties

3.1. Rights and Obligations of the Contractor:

3.1.1. The Contractor agrees to provide services of high quality and within the deadlines agreed upon by the parties.
3.1.2. The Contractor has the right to engage third parties to fulfill their obligations under this Agreement.
3.1.3. The Contractor has the right to demand from the Client the necessary materials and information required for the provision of services.

3.2. Rights and Obligations of the Client:

3.2.1. The Client agrees to provide the Contractor with complete and accurate information necessary for the provision of services.
3.2.2. The Client has the right to demand the performance of services in accordance with the terms of this Agreement.
3.2.3. The Client agrees to pay for the provided services on time and under the terms specified in this Agreement.

4. Cost of Services and Payment Procedures

4.1. The cost of services is determined according to the Contractor's price list or based on an individual agreement between the parties.
4.2. Payment is made by transferring funds to the Contractor's bank account based on the issued invoice.
4.3. In case of payment delay by the Client exceeding 10 calendar days, the Contractor has the right to suspend the provision of services until the debt is settled.

5. Liability of the Parties

5.1. In case of non-performance or improper performance of obligations under this Agreement, the parties shall be liable in accordance with the current legislation of Ukraine.
5.2. The Contractor is not liable for the quality of the services provided if the deficiencies were caused by incorrect or incomplete data provided by the Client.

6. Confidentiality

6.1. The parties agree not to disclose confidential information obtained in the course of performing this Agreement to third parties without the prior written consent of the other party, except as provided by law.

7. Dispute Resolution

7.1. All disputes arising in connection with the performance of this Agreement shall be resolved through negotiations.
7.2. If disputes cannot be resolved through negotiations, they shall be considered in the appropriate court in accordance with the current legislation of Ukraine.

8. Term and Termination of the Agreement

8.1. This Agreement comes into force from the moment the Client accepts the offer and remains in effect until the full performance of obligations by the parties.
8.2. The Agreement may be terminated by either party with a written notice to the other party 30 calendar days in advance.

9. Other Conditions

9.1. All changes and additions to this Agreement are valid only if they are made in writing and signed by authorized representatives of the parties.
9.2. This Agreement is drafted in the Ukrainian language in two copies, one for each party, both of which have equal legal force.

This Public Offer Agreement comes into effect from the moment of its publication on the Contractor’s official website. Acceptance of this offer is the full or partial payment for the services by the Client.
